This Terms of Use Agreement ("Agreement"), along with the Privacy Policy, constitutes a legally binding agreement made between you, whether personally or on behalf of an entity ("user" or "you") and Simsy Ventures LLC and its affiliated companies, websites, applications and tools (collectively, "Company" or "we"), concerning your access to and use of https://simsy.ai ("Sites" / "Company Services").
The Company makes no representation that the Sites are appropriate or available in other locations. Information on the Sites is not intended for distribution to or use by any person or entity in any jurisdiction where such distribution or use would be contrary to law or regulation.
Minors must have parental supervision. Persons under 13 are not permitted to register or use the Company Services.
You accept this Agreement by acknowledgement during registration and by continuing to use the Sites.
User representations
By using Simsy Ventures LLC Services, you represent and warrant that: registration information is truthful and accurate; you will keep your password confidential; you are not a minor (or have parental permission); your use does not violate any law.
Prohibited activities
You may not: bypass measures protecting the Sites; impersonate another user; engage in criminal or tortious activity; reverse engineer the software; remove proprietary notices; engage in automated scraping; harass employees; interfere with networks; collect emails for unsolicited mail; sell your profile; systematically retrieve data without permission; use the Sites in any manner inconsistent with applicable laws.
Intellectual property rights
The Content, trademarks, service marks, and logos are owned by or licensed to Simsy Ventures LLC and are subject to copyright and other intellectual property rights under U.S. and foreign laws and international conventions. Content is provided "AS IS" and may not be used, copied, reproduced, distributed, or otherwise exploited without prior written consent. You are granted a limited license for personal, non-commercial use.
Third-party websites and content
The Sites contain links to other websites and third-party content. Such content is not investigated, monitored, or checked for accuracy by us. Inclusion does not imply approval. If you access third-party Sites or Content, you do so at your own risk and the Company's terms no longer govern.
Site management
Simsy Ventures LLC reserves the right (but is not obliged) to: monitor for violations; take legal action; refuse, restrict, or disable contributions; remove burdensome content; manage the Sites to protect the rights and property of Simsy Ventures LLC and others.

Term and termination
This Agreement remains in effect while you use the Sites. You may terminate at any time. The Company reserves the right, in its sole discretion and without notice or liability, to deny access to and use of the Sites and the Company Services, to any person.
Modifications
To Agreement: The Company may modify this Agreement; any changes will be posted with revision date; you agree to be bound to changes by continuing use. To Services: We reserve the right at any time to modify or discontinue Services without notice.
Disputes
Between users
If there is a dispute between users, or between users and a third-party, you understand and agree the Company is under no obligation to become involved. You release the Company from claims, demands, and damages.
With the Company
- Governing law; jurisdiction. This Agreement and aspects of the Sites and Company Services shall be governed by and construed in accordance with the internal laws of the State of Wyoming. Disputes shall be brought in state and federal courts located in Wyoming.
- Informal resolution. First negotiate informally for at least thirty (30) days before initiating arbitration or court proceedings.
- Binding arbitration. Disputes that cannot be resolved through informal negotiation shall be resolved by binding arbitration under AAA Commercial Arbitration Rules. You understand that absent this provision, you would have the right to sue in court and have a jury trial.
- Restrictions. Arbitration is limited to disputes between you and the Company individually. No class arbitration.
- Exceptions. Disputes seeking to enforce or protect intellectual property rights, allegations of theft/piracy/invasion of privacy/unauthorised use, and claims for injunctive relief are not subject to informal negotiation or arbitration.
Corrections
Occasionally there may be information on the Sites containing typographical errors, inaccuracies, or omissions relating to service descriptions, pricing, availability, etc. The Company reserves the right to correct any errors and to change information at any time without prior notice.
Disclaimers
The Company cannot control the nature of all of the content available on the Sites. You agree that your use of the Sites and Company Services will be at your sole risk. The Company disclaims all warranties, express or implied. The Company makes no warranties or representations about accuracy or completeness of Content.
Limitations of liability
In no event shall the Company or its directors, employees, or agents be liable for any direct, indirect, consequential, exemplary, incidental, special, or punitive damages. The Company's liability for any cause shall at all times be limited to the amount paid, if any, by you to the Company during the period of three (3) months prior to any cause of action arising.
Indemnity
You agree to defend, indemnify and hold the Company harmless from any loss, damage, liability, claim, or demand made by any third-party arising out of your use of the Company Services or breach of this Agreement.
Notices
Any notices given to the Company shall be by email to the address in the contact information below. Any notices given to you shall be to the email you provided during registration. Notice is deemed given 24 hours after the email is sent.
User data
The Sites maintain certain data you transfer. Although the Company performs regular routine backups, you are primarily responsible for your data. The Company shall have no liability for any loss or corruption of data, and you waive any right of action against the Company arising from such loss or corruption.
Electronic contracting
Your use of the Company Services includes the ability to enter agreements electronically. You acknowledge that your electronic submissions constitute your agreement and intent to be bound.
Electronic signatures
Users are allowed to transmit and receive valid electronic signatures under the Electronic Signatures in Global and National Commerce Act (E-Sign Act) of 2000 and Uniform Electronic Transactions Act (UETA) of 1999.
Website language translation
Our website is developed in English. The Company uses a third-party language translation plug-in (GTranslate) to convert and display Site content from English to other languages on the fly without human validation. Hence the accuracy of translation may not be exact. The Company takes no responsibility for content presented in non-English languages.
Miscellaneous
This Agreement constitutes the entire agreement between you and the Company. Failure to exercise or enforce any right or provision shall not operate as a waiver. Section titles are for convenience only. This Agreement is not assignable by you without the Company's express written consent. The Company may assign at any time. Severability applies to any unlawful provision.
